This Acceptable Use and AI Addendum (the "AUP") governs the use of the Services and any AI Assistant provided by Eggs Benedict Tech LLC, a Michigan limited liability company ("Provider"). This AUP is incorporated by reference into the Master Services Agreement, each Statement of Work, and the Terms of Service (each, an "Agreement"). Capitalized terms not defined here have the meanings given in the applicable Agreement. Provider may update this AUP as provided in the applicable Agreement. This AUP applies to Customer and its Authorized Users and end users.
Customer will not, and will not permit any Authorized User or end user to, use the Services or an AI Assistant to: 1.1 violate any applicable law or regulation, or infringe or misappropriate any intellectual property, privacy, publicity, or other right of any person; 1.2 upload, transmit, or generate content that is unlawful, defamatory, harassing, abusive, hateful, or that promotes violence or illegal activity, or that constitutes child sexual abuse material or exploits or endangers minors; 1.3 transmit malware, ransomware, or other harmful code, or engage in any activity that interferes with, disrupts, degrades, or compromises the integrity, security, or performance of the Services, the AI Assistant, or the underlying infrastructure; 1.4 attempt to gain unauthorized access to the Services, other accounts, or any systems or networks, or circumvent any access, usage, or security controls; 1.5 scrape, harvest, or systematically extract data from the Services other than through interfaces and as expressly permitted, or exceed applicable rate or usage limits; 1.6 reverse engineer, decompile, or disassemble the Services or the AI Assistant, or attempt to derive their source code, models, or underlying architecture, except to the extent this restriction is prohibited by applicable law; 1.7 access or use the Services or the AI Assistant to build, train, or benchmark a competing product, service, or model, or for competitive analysis; or 1.8 misrepresent Customer's identity or authority, or use the Services on behalf of a third party as an unauthorized service bureau.
2.1 Regulated data. Customer will not submit or cause to be processed, and will not configure an AI Assistant to collect, any of the following absent a separate written agreement with Provider that expressly provides for it: protected health information subject to HIPAA; cardholder data subject to the PCI DSS; Social Security numbers, financial-account numbers, or government-identifier numbers; biometric identifiers; or other data subject to special legal handling requirements. 2.2 Children's data. Customer will not direct an AI Assistant at children, or knowingly collect or process personal information from children under 13 (or, where applicable, under 18), and will not use the Services to build or operate any offering directed to children, in each case without Provider's prior written approval and a separately scoped engagement addressing COPPA, FERPA, and related requirements. 2.3 Sensitive material at intake. Customer will not upload confidential, personal, or regulated material during the pre-engagement inquiry stage; Customer should describe such material instead, and a mutual non-disclosure agreement is available before any such material changes hands.
3.1 Human review. AI Output is probabilistic and may be inaccurate. Customer will ensure appropriate human review of Output before relying on it for any consequential purpose, and is solely responsible for its and its end users' use of Output. 3.2 No high-risk decisioning without a scoped engagement. Customer will not use an AI Assistant to make, or materially influence, high-stakes decisions about people, including decisions concerning employment, credit, lending, insurance, housing, education access, clinical or medical matters, or legal outcomes, except under a separate written engagement that is expressly scoped, papered, and safeguarded for such use. Provider declines such uses by default. 3.3 Honest-AI rule. Customer will not configure, modify, or prompt an AI Assistant to claim to be a human being, to be conscious, or to have feelings, or otherwise to conceal that it is an artificial-intelligence system. Customer will not disable, weaken, or circumvent the safety defaults or the honesty rule delivered with the AI Assistant; any change to safety controls must be a deliberate, documented act that fails safe, and is Customer's responsibility after hand-off. 3.4 No prompt injection or jailbreaking. Customer and its end users will not attempt to bypass, manipulate, or defeat the AI Assistant's safety, grounding, or content controls through prompt injection, jailbreak techniques, adversarial inputs, or similar means, or to induce the AI Assistant to generate prohibited content or to reveal system prompts, credentials, or other protected material. 3.5 Non-Agentic Boundary. Under the Stateless Privacy Shield offering, "agent" or "persona" means a conversational, read-only AI Assistant Persona and does not mean an autonomous or action-taking system. Without a separately executed action-taking addendum, Customer will not connect a delivered persona to tools or systems that permit it to send communications, modify records, execute transactions, or otherwise cause external effects. Any such post-hand-off modification is outside scope, is Customer's responsibility, and terminates the Tier 0 designation unless the modified configuration is reverified. 3.6 No use of Output to build a competing model. Customer will not use Output to develop, train, or improve any machine-learning model that competes with the Services or the AI Features, or in a manner that violates the applicable terms of the underlying AI infrastructure provider. 3.7 Grounding integrity. For grounded assistants (for example, Secure RAG Vault builds), Customer is responsible for the accuracy, legality, and rights in the Reference Material used for grounding, and will not use grounding to surface unlawful content or content Customer lacks the right to use. 3.8 Prohibited generation. Customer will not use the AI Features to generate content that is unlawful, that facilitates fraud or deception, that impersonates a real individual without authorization, that generates malware or instructions for serious physical harm, or that otherwise violates Section 1. 3.9 Infrastructure provider policies. Customer's use of the AI Features is also subject to the acceptable-use policies of the underlying AI infrastructure provider (Google Cloud Platform / the Gemini Enterprise Agent Platform), to the extent they apply, and Customer will not use the AI Features in a manner that would cause Provider to violate those policies.
Customer is responsible for all activity under its accounts and within its deployed AI Assistant, for its Authorized Users' and end users' compliance with this AUP, for the compliance of its use case, and, after hand-off, for the ongoing operation, configuration, and monitoring of the deployed AI Assistant. Provider builds and delivers the AI Assistant; Provider is not the deployer or operator of Customer's use case and does not control the content Customer or its end users submit or generate.
5.1 Investigation. Provider may investigate suspected violations of this AUP and may report activity it believes is unlawful to appropriate authorities. 5.2 Suspension and Termination. Provider may suspend or restrict access to the Services, or withhold or suspend performance, if Provider reasonably determines that Customer, an Authorized User, or an end user has violated this AUP, that a violation poses a security or legal risk, or that suspension is required by law, in each case as provided in the applicable Agreement (including the suspension and termination provisions of the MSA and the Terms of Service). Provider will use reasonable efforts to give notice and to limit any suspension to the affected use, except where an immediate suspension is necessary to prevent harm. 5.3 No Waiver. Provider's failure to enforce this AUP in any instance is not a waiver of its right to enforce it.
Provider may update this AUP from time to time to reflect changes in the Services, the AI Features, or applicable law. Provider will provide notice of material changes as provided in the applicable Agreement, and continued use of the Services after the effective date constitutes acceptance.
