2.2 AI Homeroom (Education): A safe, "walled garden" STEAM learning resource for elementary students. It leverages non-anthropomorphic AI tutors (like "Sparky") to provide personalized homework help and interactive storytelling.

 

2.3 DAIMOND Academy (Lifestyle): A premium, age-restricted mentorship platform where adult users interact with synthetic AI personas (e.g., Vesper, Silas) to learn soft skills, luxury branding, and wellness.

 

2.4 Enterprise Solutions: B2B tools and consulting services focused on Business Intelligence and AI ROI analytics.

 

2.5 Technology Stack: Our Services utilize a blend of enterprise-grade technologies, including Wix, Simplified.ai, and Google Cloud Platform (Vertex AI/Gemini Models) to ensure scalability, security, and performance.

 

3. User Accounts

 

3.1 Account Creation: To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process.

 

3.2 Account Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify EBT immediately of any unauthorized use.

 

3.3 Child Accounts: For Services accessed by children under 13 (AI Homeroom), a parent or legal guardian must create and manage the child's account.

 

4. Special Considerations for Child Users and Data Protection

 

Protecting children's privacy is paramount. Our practices for the AI Homeroom are guided by strict safety protocols.

 

4.1 COPPA Compliance: We strictly comply with the Children's Online Privacy Protection Act (COPPA). We do not knowingly collect personal information online from children under 13 without verifiable parental consent.

 

4.2 FERPA Compliance: We comply with FERPA regarding the privacy of student education records.

 

4.3 No Chat Data for AI Model Training: We explicitly commit that student chat data from interactions with our AI tutors is never used to train or improve our AI models.

5. Acceptable Use and Prohibited Conduct

6. Intellectual Property

 

6.1 Ownership: All content, including text, graphics, logos, software, and our proprietary AI models and personas (e.g., Sparky, Vesper, Silas), are the exclusive property of Eggs Benedict Tech LLC or its licensors.

 

6.2 Synthetic Media Rights: Content generated by our DAIMOND Academy mentors includes C2PA metadata indicating its synthetic origin. While users may have rights to their specific interactions, the underlying persona traits and visual assets remain the property of EBT.

 

6.3 Limited License: EBT grants you a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial, and educational purposes.

 

7. Disclaimers

 

7.1 "As Is" Basis: The Services are provided on an "as is" basis without warranties of any kind.

 

7.2 Accuracy of AI: AI is an evolving technology. We do not warrant that the results of the Services (including tutor answers or mentor advice) will always be accurate or error-free.

• Educational Tools: Are supplements to, not replacements for, qualified teachers.

• Lifestyle Mentors: Provide simulation and entertainment. They do not constitute professional financial, legal, or medical advice.

7.3 Synthetic Nature: You acknowledge that interactions within DAIMOND Academy are with Artificial Intelligence agents, not real humans.

 

8. Limitation of Liability

 

To the fullest extent permitted by law, in no event shall Eggs Benedict Tech LLC be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your access to or use of the Services, or any content obtained from the Services.

 

9. Indemnification

 

You agree to defend, indemnify, and hold harmless Eggs Benedict Tech LLC and its affiliates from any claims, damages, or expenses arising out of your violation of these Terms or your use of the Services.

 

10. Governing Law and Jurisdiction

 

These Terms shall be governed by the laws of the State of Michigan, United States. Any legal action will be brought exclusively in the federal or state courts located in Oakland County, Michigan.
